These Terms and Conditions (“Terms”) govern your access to and use of the website bioagiletherapeutics.com (the “Website”), operated by BioAgile Therapeutics Private Limited (“BioAgile”, “we”, “us” or “our”), a Contract Research Organisation registered in Bengaluru, Karnataka, India. Please read these Terms carefully before using the Website.

1. Acceptance of terms

By accessing, browsing or otherwise using the Website, you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree with any part of these Terms, you should stop using the Website.

If you use the Website on behalf of a company, institution or other organisation, you confirm that you are authorised to accept these Terms on its behalf, and references to “you” include that organisation.

2. Scope of website use

The Website is a business-to-business information resource intended for sponsors, manufacturers, research partners, prospective employees and other professional audiences. It describes the scientific and operational services offered by BioAgile, including clinical research services, preclinical services, bioavailability and bioequivalence studies, and post-marketing surveillance, together with the industry sectors we serve.

You may use the Website to learn about our capabilities, to make a business enquiry, and to apply for advertised positions. Any other use requires our prior written consent.

3. Informational nature of content; no medical or clinical advice

All content published on the Website is provided for general information purposes only. It describes services that BioAgile may perform under a written contract; it is not an offer, solicitation, invitation or commitment to provide any service, and it does not create any contractual obligation on either party.

Nothing on the Website constitutes medical, clinical, diagnostic, therapeutic, regulatory, scientific or legal advice. Content must not be relied upon for the diagnosis, prevention, monitoring or treatment of any medical condition, nor for any decision regarding the use of any drug, device, nutraceutical, cosmetic, herbal or other product. The Website does not recruit participants for clinical studies and does not provide any recommendation about participation in a study. If you have a health concern, consult a qualified medical practitioner.

References to our ISO 9001:2015 certification and to CDSCO Registration No. CRO/KA/2026/000173 describe the certifications and registration held by BioAgile. They are not an endorsement of any sponsor, product, study outcome or claim, and they do not imply approval of any product by any authority.

Any engagement of BioAgile is governed exclusively by a separate written service agreement, master services agreement, work order or study-specific contract executed between the parties. In the event of any inconsistency between the Website and such an agreement, the executed agreement prevails.

4. Accuracy and availability

We take reasonable care to ensure that Website content is accurate and current at the time of publication. Scientific practice, regulatory requirements and our own service offerings change over time, and content may become outdated. We do not warrant that the Website will be error-free, complete, uninterrupted or free of harmful components, and we may modify, suspend or withdraw any part of the Website at any time without notice.

5. Intellectual property

All content on the Website, including text, page layout, graphics, illustrations, photographs, diagrams, icons, service descriptions, downloadable materials, the BioAgile name and logo, and the compilation and arrangement of all of the foregoing, is owned by BioAgile or licensed to us, and is protected by Indian and international intellectual property laws.

No content may be reproduced, republished, distributed, transmitted, adapted, translated, framed, mirrored, stored in a retrieval system, or used to create derivative works, in whole or in part, without our prior written permission. Third-party names, trade marks and logos appearing on the Website remain the property of their respective owners and are used for identification purposes only.

6. Permitted use and restrictions

You may view, download and print pages from the Website for your own internal business reference, provided you do not alter the content and retain all proprietary notices. You must not:

  • use the Website for any unlawful, fraudulent or misleading purpose;
  • attempt to gain unauthorised access to the Website, its servers, databases or any connected system;

8. Enquiries and confidentiality

When you submit an enquiry through the Website, please share only the information reasonably necessary to describe your requirement. Do not submit confidential, proprietary or commercially sensitive information — including molecular structures, formulations, protocols, unpublished data or regulatory dossiers — through the Website’s forms or by unencrypted email. Information submitted through the Website is not treated as confidential unless and until a confidentiality agreement or non-disclosure agreement has been executed between us in writing.

Once a confidentiality agreement is in place, information exchanged under it is handled strictly in accordance with that agreement and with our documented quality and information-security procedures. Personal data contained in an enquiry is handled in accordance with our Privacy Policy.

Where you submit an unsolicited idea, suggestion or proposal that is not covered by a confidentiality agreement, you agree that we may use it without obligation of confidentiality, attribution or compensation, subject always to any intellectual property rights you hold in it.

By submitting an application, curriculum vitae or supporting document through the careers section, you confirm that the information you provide is true, accurate and complete, that you are entitled to work in the relevant jurisdiction, and that you are not in breach of any obligation to a current or former employer by submitting it.

Applications are assessed solely for recruitment purposes and are handled in accordance with our Privacy Policy. Submitting an application does not create an employment relationship, an offer of employment, or any obligation on BioAgile to consider, interview or respond to any application.

10. Disclaimers

To the fullest extent permitted by applicable law, the Website and all content on it are provided on an “as is” and “as available” basis, without warranties or representations of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or secure access.

We do not warrant that any result, outcome, timeline or regulatory acceptance will be achieved from any information presented on the Website. Study outcomes depend on the protocol, the test article, the applicable regulatory framework and factors outside our control.

11. Limitation of liability

To the fullest extent permitted by applicable law, BioAgile, its directors, officers, employees, consultants and agents shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary loss or damage, or for any loss of profit, revenue, business, contracts, goodwill, anticipated savings or data, arising out of or in connection with your access to, use of, or inability to use the Website, or your reliance on any content published on it, whether such liability is founded in contract, tort, negligence, statute or otherwise, and whether or not we were advised of the possibility of such loss.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under the laws of India.

12. Indemnity

You agree to indemnify, defend and hold harmless BioAgile, its directors, officers, employees, consultants and agents from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website, your infringement of any intellectual property or other right of any person, or your violation of any applicable law.

13. Privacy

Your use of the Website is also governed by our Privacy Policy, which explains what personal data we collect, how it is used, and the rights available to you under India’s Digital Personal Data Protection Act, 2023. The Privacy Policy forms part of these Terms.

14. Changes to these Terms

We may revise these Terms from time to time to reflect changes in our services, our practices or applicable law. The current version is always published on this page with the “Last updated” date shown above. Your continued use of the Website after a revision is published constitutes acceptance of the revised Terms.

15. Severability and waiver

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be severed to the minimum extent necessary and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not be construed as a waiver of that provision or of any other right.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, the Website, or their subject matter or formation, whether contractual or non-contractual, are governed by and construed in accordance with the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
